Beacon Business Account Agreement
BEACON BUSINESS ACCOUNT TERMS
This Beacon for Business Account Agreement (this “Account Agreement”) applies to your creation of, access to, or use of a Beacon for Business account (the “Business Account”) and any business-facing services or features made available through the Business Account (the “Business Services”).
This Account Agreement constitutes “Service-Specific Terms” for purposes of, and as contemplated by, Beacon’s Terms of Use (defined below). If there is any conflict between this Account Agreement and Beacon’s Terms of Use, Beacon’s Terms of Use will control except as expressly stated in Section 2.2 (Order of Precedence).
In this Account Agreement, “Beacon,” “we,” “us,” and “our” means MyBeacon Services Inc., and “Customer,” “you,” and “your” means the business, organization, or other legal entity creating or using the Business Account. Any capitalized terms not defined in this Account Agreement have the meanings given in the Beacon Terms (defined below).
BY CLICKING “I AGREE,” “ACCEPT,” “CONTINUE,” “CREATE BUSINESS ACCOUNT,” OR A SIMILAR BUTTON, OR BY ACCESSING OR USING THE BUSINESS ACCOUNT OR BUSINESS SERVICES, YOU ACCEPT AND AGREE TO BE BOUND BY THIS ACCOUNT AGREEMENT AND THE INCORPORATED TERMS (DEFINED BELOW). IF YOU DO NOT AGREE, DO NOT CREATE A BUSINESS ACCOUNT AND DO NOT ACCESS OR USE THE BUSINESS SERVICES.
1. Authority; Authorized Users
1.1 Authority. You represent and warrant that (a) you are authorized to act on behalf of the Customer and bind the Customer to this Account Agreement and the Incorporated Terms, and (b) your Acceptance is on behalf of the Customer.
1.2 Authorized Users. The Customer may permit its employees, contractors, and other personnel to access and use the Business Account on the Customer’s behalf (“Authorized Users”). The Customer is responsible for (a) its Authorized Users’ compliance with this Account Agreement and the Incorporated Terms, and (b) all activity that occurs through the Business Account, whether or not authorized by the Customer.
2. Incorporated Terms; Order of Precedence
2.1 Incorporated Terms. The Customer’s access to and use of the Business Account and Business Services is subject to and governed by the following documents, each as updated from time to time (collectively, the “Incorporated Terms”), which are incorporated into this Account Agreement by reference: (a) Beacon’s Terms of Use: [https://www.mybeacon.ca/terms-conditions/] (“Beacon Terms”); (b) NIUM’s End Customer Terms: https://www.nium.com/legal/end-customer-terms (“NIUM Terms”); (c) Beacon’s Privacy Policy: https://www.mybeacon.ca/privacy-policy/ (“Beacon Privacy Policy”); (d) Beacon UPI Feature Terms and Conditions: https://www.mybeacon.ca/terms-conditions/offers/upi-feature-terms-and-conditions/ (“UPI Feature Terms”); (e) any pricing schedule, fee schedule, rate card, statement of fees, or similar schedule or listing published by Beacon (including in-product), or otherwise accepted by the Customer (including by clicking “I Agree,” accepting in-product pricing, or similar acceptance mechanism, or otherwise using a service after such pricing has been disclosed to Customer) (each, a “Pricing Schedule”) and (f) Beacon’s Website Terms of Use: https://www.mybeacon.ca/website-terms-conditions/ (“Website Terms”).
2.2 Order of Precedence. If there is any conflict or inconsistency among the Incorporated Terms or between any Incorporated Terms and this Account Agreement, the following order of precedence applies solely to the extent of the conflict: (1) Beacon Terms; (2) NIUM Terms (and, for NIUM Services, the NIUM Terms will govern Beacon’s terms to the extent of any conflict); (3) this Account Agreement;(4) an applicable Pricing Schedule (for pricing, fees, rates, and charges only); (5) UPI Feature Terms (for the UPI feature only); (6) Beacon Privacy Policy (for privacy and personal information handling only); and (7) the Website Terms.
2.3 Updates. The Customer acknowledges that Beacon and NIUM may update the Incorporated Terms from time to time at their discretion. The Customer’s continued use of the Business Account or Business Services after any updated Incorporated Terms are posted (or otherwise made available) constitutes the Customer’s acceptance of the updated Incorporated Terms.
3. Third-Party Services (including NIUM)
3.1 NIUM Services. Certain Business Services may be provided by NIUM Pte. Ltd. and/or its affiliates or partners (“NIUM”) and not by Beacon (the “NIUM Services”). The Customer acknowledges that NIUM is responsible for the NIUM Services and related regulatory compliance.
3.2 NIUM Terms. The Customer’s access to and use of the NIUM Services is subject to the NIUM Terms, including any eligibility, onboarding, compliance, transaction, and suspension/termination requirements described in the NIUM Terms.
3.3 Information Sharing. The Customer authorizes Beacon and NIUM to collect, use, and disclose the Customer’s information (and information relating to the Customer’s Authorized Users, directors, officers, beneficial owners, and other individuals associated with the Customer, as applicable) to each other and other service providers as reasonably necessary to provide the Business Services, including for onboarding, identity verification, KYC/KYB checks, sanctions screening, risk management, transaction processing and monitoring, fraud prevention, and compliance with applicable laws and regulations, in each case as described in the Beacon Privacy Policy.
4. Fees and Payment
4.1 Fees. The Customer will pay the fees, charges, and other amounts described in the applicable Pricing Schedule(s), without setoff or deduction except to the extent required by applicable law.
4.2 Taxes. Fees are exclusive of applicable taxes, which the Customer will pay as required by law.
5. Customer Responsibilities
The Customer will (a) provide accurate, current, and complete information; (b) promptly update information as necessary; (c) maintain the confidentiality and security of login credentials and access controls; (d) implement reasonable internal controls to prevent unauthorized use; and (e) use the Business Account and Business Services only in compliance with applicable law and the Incorporated Terms.
6. Suspension; Termination
In addition to any suspension rights available to NIUM under the NIUM Terms, Beacon may suspend or terminate the Customer’s access to the Business Account or any Business Services in accordance with the Beacon Terms and, as applicable, the NIUM Terms.
7. Disclaimers; Limitation of Liability
All disclaimers, limitations of liability, and exclusions set out in the Beacon Terms and, for NIUM Services, the NIUM Terms, apply to the Business Account and Business Services to the maximum extent permitted by law. Without limiting the foregoing, Beacon disclaims responsibility for third-party services to the extent set out in the Beacon Terms and the NIUM Terms.
